**APPENDIX A: FORCED LABOR PREVENTION & TRACEABILITY** 1. **Prohibition of Forced Labor:** The Supplier warrants that no goods, wares, articles, or merchandise mined, produced, or manufactured wholly or in part in the Xinjiang Uyghur Autonomous Region (XUAR) of China, or by any entity on the UFLPA Entity List, shall be incorporated into products supplied to the Buyer. 2. **Traceability Requirement:** Upon request, Supplier must provide a complete chain of custody for all raw materials, including but not limited to: - Certificate of Origin for raw inputs. - Production logs demonstrating capacity. - Transportation documents for input materials. 3. **Subcontracting:** Supplier shall not subcontract any portion of the production without prior written consent from the Buyer. All approved subcontractors must undergo the same UFLPA vetting process. 4. **Right to Audit:** Buyer reserves the right to conduct unannounced third-party audits (physical or digital) of the Supplier's facilities to verify production capacity and labor conditions. 5. **Indemnification:** Supplier agrees to indemnify Buyer against any fines, storage fees, or legal costs resulting from the detention of goods by US Customs and Border Protection (CBP) due to suspected forced labor.
